SME company formation in Dubai

If you want to start a small business in Dubai, SME company formation usually means a lean mainland or free zone company sized to your plans. We set that up for you, and tell you honestly whether you qualify for the small and medium-sized enterprise (SME) programmes, which are open to UAE nationals and, for Dubai SME, Gulf Cooperation Council (GCC) nationals.

Overview

What SME company formation means in Dubai

SME is a size category, not a license type. The two programmes most people mean are the National Programme for Small and Medium Enterprises, run by the Ministry of Economy and Tourism (MoET), and Dubai SME. The national programme is for UAE nationals whose trade license is fully owned by UAE nationals, and Dubai SME is for UAE and GCC nationals. Members gain access to the support and incentives each programme offers.

If you are an expat, you can't join these programmes, but you can still start small. In practice, SME company formation for expat founders means choosing the leanest structure that legally covers your activity: a mainland company licensed by the Department of Economy and Tourism (DET), or a company in one of the UAE's 40+ free zones.

Starting small is about matching the setup to what you need today. That means one or two activities rather than five, premises that meet your activity's requirements rather than a large office, and only the visas you will actually use. Activities, visas and premises can be added later as the business grows.

Our part

What we do, and what we don't

Clear boundaries, so you know exactly what you're paying for and who decides each step.

Included

  • An honest eligibility check for Dubai SME and the national programme
  • A cost-conscious comparison of mainland and free zone options for your activity
  • Activity selection that covers what you do without paying for extras
  • Trade name checks and application typing
  • Submission and follow-up with DET or the free zone
  • An explanation of corporate tax registration and Small Business Relief after licensing

Not included

  • We don't decide programme membership; the programme operators do.
  • We don't provide funding, loans or grants.
  • We don't give tax advice beyond the published rules; tax decisions rest with the Federal Tax Authority (FTA).
Documents

Documents you'll need

  • Passport copy and, if you live in the UAE, Emirates ID and residence visa copies
  • Your chosen activity and trade name options
  • Lease or premises details, where your activity or free zone requires them
  • Shareholder details, if you have partners
  • For nationals applying to an SME programme: proof of nationality and a trade license fully owned by nationals

Licensing authorities and programme operators may ask for more; we confirm the list for your route.

Fees and timing

Two fees, shown separately

  • Government fees, paid at cost

Set by DET or your chosen free zone and paid at cost; we confirm each amount with you before payment.

  • Global Sky PRO service fee

  • Timing

Timing depends on your activity, the authority and how quickly documents are ready. Programme membership, if you qualify, is a separate step that the programme decides. We give you a realistic plan once your route is chosen.

Details that save time

Small Business Relief and tax for small companies

Corporate tax in the UAE is charged at 0% on taxable income up to AED 375,000 and at 9% on income above that. Small Business Relief is a separate relief for eligible businesses with revenue of AED 3 million or less, and it has been extended to tax periods ending on or before 31 December 2029 under Ministerial Decision No. 131 of 2026. It is not available to Qualifying Free Zone Persons or to members of large multinational groups. These rules have changed recently, so we confirm the current position before you rely on them.

Registration still applies to small companies. Companies incorporated from 1 March 2024 have been required to register for corporate tax within three months, and the FTA charges an AED 10,000 penalty for late registration. For VAT, charged at 5%, registration becomes mandatory above AED 375,000 and is voluntary above AED 187,500.

How to keep a small setup lean

The cheapest license is not always the cheapest company. A setup that doesn't cover your activity costs more to fix later than it saves today.

  • Choose activities you will use in the first year, and add others later
  • Take premises that meet your activity's requirements, not more
  • Apply only for the visas you need now
  • Budget for renewal, not just the first year
  • Keep clean records from day one, so tax registration and filing stay simple

Ask on WhatsApp
Who can join Dubai SME?

Dubai SME membership is for UAE and GCC nationals. Expat founders can't join, though they can still set up a small mainland or free zone company. The separate National Programme for SMEs, run by MoET, is for UAE nationals whose trade license is fully owned by UAE nationals. Each programme sets and checks its own criteria.

What is Small Business Relief?

It is a corporate tax relief for eligible businesses with revenue of AED 3 million or less, now extended to tax periods ending on or before 31 December 2029. Qualifying Free Zone Persons and members of large multinational groups cannot use it. You still need to register for corporate tax with the FTA, and we confirm the current conditions with you before you claim it.

What is the most affordable way to start a small business in Dubai?

There is no single cheapest route, because cost depends on your activity, premises and visa needs. A lean setup keeps to the activities you need now, premises that meet your activity's requirements and only the visas you will use. We compare mainland and free zone options with government fees at cost, so you can see the real difference.

Can I start a small company from abroad?

Often yes, for the early stages. Activity checks, trade name reservation and many applications can be prepared and submitted with scanned documents, and we handle that for you. Steps such as residence visa medical tests, Emirates ID biometrics and, usually, opening a bank account need you in the UAE. Each authority sets its own rules, so we confirm what needs your presence.

Does a small business need to register for VAT?

Only once it passes the threshold. VAT registration is mandatory when taxable supplies exceed AED 375,000 and voluntary above AED 187,500, and the standard rate is 5%. Below the voluntary threshold, you don't register. We help you track where you stand so you register with the FTA at the right time.

How do UAE nationals apply for the National Programme for SMEs?

You apply online with MoET: choose the service in its e-services, register on uaesme.ae, complete the form and upload your Emirates ID and trade license. You must be a UAE national aged at least 16 with a valid license fully owned by UAE nationals. At the time of writing, MoET lists one working day for processing, and approved members receive a membership certificate and a Riyada Card.

Can I start a small company as the only shareholder?

Yes, in free zones that offer a single-shareholder company type. In Jebel Ali Free Zone (JAFZA), for example, a Free Zone Establishment (FZE) is a limited liability company with one shareholder, who can be a person or a company. Other zones use their own company types. On the mainland, the legal form must match your activity, so we confirm with DET which forms allow a sole owner for it.

Is there a special trade license for small businesses in Dubai?

Yes, there is more than one. The UAE government portal lists eight Dubai license types issued through Invest in Dubai, including the eTrader, instant, SME and Intelaq licenses. Each type has its own conditions, set by DET, on who can apply and what it covers. Before you settle on a standard license, we check whether one of these suits your activity and plans.
