How to cancel a trade license in Dubai, step by step

To cancel a trade license in Dubai, start liquidation if your legal form needs it, cancel staff permits, visas and the establishment card, settle your tax position, then complete the cancellation with the Department of Economy and Tourism (DET). The order matters, because each authority checks that the step before it is done. This guide walks a mainland owner through each step, the documents involved and the loose ends that hold closures up.

Key takeaways

  • Cancel each employee's work permit with MOHRE before their residence visa, because GDRFA Dubai needs the MOHRE cancellation first.
  • GDRFA Dubai cancels an establishment card only when no sponsored persons remain on it.
  • LLCs and other companies go through liquidation, including a 45-day period for creditors' claims, before DET cancels the license.
  • VAT deregistration is due within 30 business days and corporate tax deregistration within three months of the triggering event.
  • At the time of writing, a late deregistration application costs AED 1,000, repeated monthly up to AED 10,000.

Trade license cancellation in Dubai: the order that works

Cancelling a Dubai mainland trade license works from the outside in. You close everything that depends on the license first, and the Department of Economy and Tourism (DET) cancels the license itself last. Each authority checks the step before it, so going out of order mostly costs you time and repeat applications.

For a company that needs a liquidator, the file opens with DET and closes with DET, with the staff, immigration and tax steps in between. A sole establishment skips the liquidation stage but still clears the same authorities. In outline:

  • Resolve to close: for a company, the partners sign notarised general assembly minutes confirming the liquidation and appointing a liquidator.
  • Open the liquidation with DET, receive the liquidation certificate and publish the notice to creditors.
  • Cancel employees' work permits with the Ministry of Human Resources and Emiratisation (MOHRE), then their residence visas, including partners' visas sponsored by the company.
  • Cancel the establishment card with the General Directorate of Residency and Foreigners Affairs Dubai (GDRFA Dubai) and close the company's MOHRE file.
  • File final returns, pay any tax due and deregister for value added tax (VAT) and corporate tax with the Federal Tax Authority (FTA).
  • Collect the remaining clearances and submit the final cancellation request to DET.

Sole establishment or LLC: does your company need liquidation?

Your legal form decides whether a liquidator is needed. The UAE government portal lists general partnerships, limited liability companies (LLCs), simple limited partnerships, and public and private joint stock companies as companies that need a liquidator before the license is cancelled.

For establishments and sole proprietorships, the portal describes a simpler route: apply for cancellation and obtain clearances from MOHRE, the residency directorate, the water and electricity authority and the leasing entity. There is no general assembly, liquidator or creditor notice, which usually makes it the shorter process.

Civil companies and branches have their own requirements. According to u.ae, a civil company provides a notarised partnership termination contract, and a branch provides a board decision to cancel plus proof that its labour cards are cancelled. Check the legal form printed on your license before you plan anything else.

Company liquidation in Dubai: the liquidator and the creditor notice

For an LLC or another company, the closure formally begins with dissolution. Under Article 21 of Federal Decree-Law No. 32 of 2021 on Commercial Companies, a dissolved company undergoes liquidation, keeps its legal personality as far as the liquidation needs it, and must add "Under Liquidation" to its name. Article 13 of the same law requires its paperwork to show that status.

u.ae sets out the Dubai procedure in two stages. In the first, the partners prepare notarised general assembly minutes confirming the liquidation and naming the liquidator, and a registered liquidator accepts the role in writing, with a copy of their license, their auditor registration certificate and a notarised signature specimen. You then apply to DET, which issues a liquidation certificate.

Next, the liquidation notice is published in two local newspapers. It gives a 45-day period for claims to be submitted, so a company cannot reach final cancellation sooner than that. Use the waiting time for the staff, immigration and tax steps below rather than leaving them until the end.

Expect the cancellation fees to be confirmed when you apply. u.ae lists AED 520 for the dissolution and liquidator-appointment certificate, but on a page that still uses DET's former name, so check the current amount on the platform.

Cancel employee work permits and visas first

Staff come first because every later step assumes nobody is still sponsored by the company. GDRFA Dubai cancels an establishment card only when no sponsored persons remain on it, and DET's final stage asks for proof that labour cards and the partners' company-sponsored visas are cancelled.

Start with MOHRE. Its service for cancelling work permits and employment contracts asks the employer to pay any fines for late issue or non-renewal of work permits, and to issue a statement confirming that the worker's dues and entitlements are fully settled. The employee signs to agree to the cancellation and to confirm receipt of their dues. MOHRE lists a service time of two working days.

Then cancel the residence visa. GDRFA Dubai's residence cancellation service says the cancellation must first be processed by MOHRE, and for a private-sector employee it asks for the MOHRE extract confirming the work permit was cancelled. GDRFA Dubai lists an expected completion time of 48 hours.

Do the same for owners and partners whose visas the company sponsors. The team that handles our employment visas and work permits can prepare these cancellations in the same order.

Cancel the establishment card and the MOHRE file

Once nobody remains on the company's sponsorship, cancel the establishment card, which is the company's immigration record in Dubai. GDRFA Dubai's service for cancelling an establishment card covers private sector, free zone and government entities, and its one condition is that no sponsored persons remain on the card.

You can apply online through GDRFA Dubai's smart services, signing in with UAE PASS, or at an Amer centre. The documents are the establishment card and a letter from the company asking for its cancellation. Our guide to the establishment card in the UAE explains what the card holds and why it matters while the company is trading.

The labour side closes separately. The UAE government's guidance on closing a business lists cancelling the company's firm card at MOHRE as a second-stage step for companies, and a no-objection letter from MOHRE for sole proprietorships. Clear every work permit first so the file has nothing left on it.

Deregister for VAT and corporate tax with the FTA

Cancelling the license does not close your tax registrations. You apply to deregister on EmaraTax, the FTA's online platform, and each tax runs on its own clock. Both services are free, and you sign in with UAE PASS.

For VAT, the FTA says a registrant that stops making taxable supplies, including through license cancellation, must apply within 30 business days of the date the obligation arose. For a cancelled license it asks for the trade license cancellation certificate, the liquidation letter and the board resolution. The final VAT return and any tax due are payable within 28 days of the effective date of deregistration, and the FTA issues the deregistration certificate only after that return is approved and all tax and penalties are paid.

For corporate tax, the FTA expects the deregistration application within three months of the triggering event, such as dissolution or liquidation. Under Article 52 of Federal Decree-Law No. 47 of 2022, a company is not deregistered until it has filed all its returns, including the one up to the date it ceased business, and paid all corporate tax and penalties due. The FTA asks for the license cancellation document and financial statements up to the cancellation date, and says it processes complete applications within 40 working days. Since that document comes from DET's last step, plan the application so it still lands inside the three months.

Late applications cost money. At the time of writing, both the VAT and the corporate tax penalty tables set AED 1,000 for a late deregistration application, charged again each month up to AED 10,000. Our FTA services team prepares both requests so the two records close together.

Final clearances and the DET license cancellation

The last step belongs to DET and pulls everything together. Invest in Dubai lists it as the request for cancellation of trade license, among its Dubai government services for companies. For a company, the UAE government's guidance on closing a business lists these items for the second stage:

For a sole establishment, the clearances from MOHRE, the residency directorate, the water and electricity authority and the landlord or leasing entity take the place of the liquidation papers. The fees are shown when you apply, and the cancellation certificate is issued once they are paid. Keep it safe, because the FTA asks for the license cancellation document when you deregister for corporate tax.

  • A declaration from the liquidator and partners that no objections were received within the 45-day period.
  • The original newspaper notice and the liquidator's final report.
  • Approvals from any other government bodies needed to cancel the license.
  • Proof that the MOHRE firm card and the partners' company-sponsored visas are cancelled.
  • Copies of the general assembly minutes and the dissolution certificate.

How is a free zone company closed?

Free zone companies do not go through DET: each free zone authority runs its own deregistration, with its own forms, notice periods and fees. The UAE government portal gives DMCC as an example, where closure is applied for through the member portal and a notice is published in a local Arabic newspaper before the final termination.

The federal steps stay the same. Employee visas and work permits still have to be cancelled, and the FTA's VAT and corporate tax deregistration rules apply whether your license comes from DET or from a free zone authority.

Common mistakes that stall a cancellation

Most delays come from loose ends rather than from the authorities themselves. Check that none of these apply to you:

  • Applying to DET while staff or partners still hold company-sponsored visas, which blocks the establishment card and the final stage.
  • Leaving work permit fines unpaid, since MOHRE asks for fines from late issue or non-renewal to be paid before it cancels a permit.
  • Cancelling a work permit without a signed confirmation that the employee's dues are settled.
  • Forgetting tax deregistration, or missing the 30-business-day VAT deadline or the three-month corporate tax deadline.
  • Letting the license lapse instead of cancelling it; u.ae warns that fines and penalties build up on a license that is not renewed.
  • Publishing the creditor notice late, which pushes back the 45-day period and every step after it.
  • Closing the company bank account before the last fees, salaries and tax payments have gone out.

How Global Sky PRO helps you close properly

Global Sky PRO prepares and submits the government applications around a closure: work permit and visa cancellations, the establishment card cancellation, FTA deregistration and the final cancellation request on Invest in Dubai. We follow each one up until the authority decides, and tell you what comes next.

We are not liquidators, auditors, notaries or a law firm, so the liquidator's work, notarisation and legal advice stay with licensed professionals. We can prepare, type and translate supporting documents through our legal support team and keep the steps in the right order around them. Government fees are paid at cost and shown separately from our service fee, which we confirm in writing before work starts. See our PRO services for everything we handle.

Ask on WhatsApp
Do I need to liquidate my LLC before cancelling its Dubai trade license?

Yes. The UAE government portal lists limited liability companies among the companies that need a liquidator before the license is cancelled, along with partnerships and joint stock companies. The partners sign notarised minutes appointing a registered liquidator, DET issues a liquidation certificate, and a published notice gives 45 days for claims. Only after that period, and once staff visas and other clearances are done, does the final cancellation go to DET.

How long does it take to close a company in Dubai?

There is no single official timeline, because each authority runs its own step. The liquidation notice alone gives 45 days for claims, so a company that needs liquidation cannot finish sooner. At the time of writing, MOHRE lists two working days to cancel a work permit and GDRFA Dubai 48 hours for a residence cancellation. The Federal Tax Authority (FTA) lists 30 business days to process a complete VAT deregistration application, longer if it asks for more information, and 40 working days for corporate tax.

Can I cancel my trade license while employees still hold company visas?

Not in practice. GDRFA Dubai cancels an establishment card only when no sponsored persons remain on it, and for a company the final DET stage asks for proof that labour cards and the partners' company-sponsored visas are cancelled. Cancel each work permit with MOHRE first, then the residence visa with GDRFA Dubai, and only then move on to the establishment card and the final application.

What happens if I let my Dubai trade license expire instead of cancelling it?

The company does not close on its own. The UAE government portal warns that fines and penalties build up on a license that is not renewed, and your FTA registrations remain until you apply to deregister. At the time of writing, a late VAT or corporate tax deregistration application carries a penalty of AED 1,000, charged again each month up to AED 10,000. Cancelling properly stops those costs from growing.

Who can act as liquidator for a Dubai mainland company?

The UAE government portal describes the liquidator as a registered liquidator who accepts the appointment in writing. The acceptance letter is filed with a copy of the liquidator's license, their auditor registration certificate and a notarised signature specimen, and the partners name the liquidator in notarised general assembly minutes. Global Sky PRO is not a liquidator, but we can coordinate the government paperwork around the appointment.

Does a sole establishment in Dubai need a liquidator to close?

No. The UAE government portal describes a simpler route for establishments and sole proprietorships: apply for cancellation and obtain clearances from MOHRE, the residency directorate, the water and electricity authority and the leasing entity. There is no general assembly or creditor notice. Staff permits and visas, the establishment card and any FTA registrations still need to be closed before or alongside the DET application.

What is the penalty for applying late to deregister from corporate tax?

At the time of writing, Cabinet Decision No. 75 of 2023 sets AED 1,000 for a late corporate tax deregistration application, charged again on the same date each month up to AED 10,000. The FTA expects the application within three months of the triggering event, such as dissolution or liquidation, and it will not deregister a company until all returns are filed and all tax and penalties are paid.
